Terms of Service

Last updated: July 16, 2026

Draft — Rootstock's legal entity is currently being formed. Details shown as ⟨placeholders⟩ will be completed, and this document legally reviewed, before launch.

1. Who we are

These terms govern your use of Rootstock, operated by registered entity name, registered address, Dutch Chamber of Commerce no. KvK number, VAT no. VAT number(“Rootstock”, “we”). By creating an account or placing an order you accept them.

2. The marketplace and your purchase contract

Rootstock is a marketplace: the independent producers listed on the platform sell their own products directly to you. When you place an order, your contract of sale is with the producer, who is the seller and merchant of record — not with Rootstock. We provide the platform, the community features, and payment processing through our payment provider Stripe.

Product descriptions, stories, and imagery are written by the producers themselves. We vet producers before they go live and suspend visibility when quality standards are not met, but the producer remains responsible for their products and listings.

3. Your account

  • You must be at least 18 years old to use Rootstock.
  • Keep your account details accurate and your credentials to yourself; you are responsible for activity on your account.
  • Producer accounts additionally require completing onboarding with our payment provider before selling.

4. Ordering and payment

  • All prices are in euros. Your order is an offer to buy; the contract with each producer is concluded when their payment is confirmed.
  • A cart may contain products from several producers; you then pay each producer separately in one checkout, and each payment creates a separate contract with that producer.
  • Payments are processed by Stripe. We never see or store your card details.

5. Shipping and delivery

Every order ships directly from the producer — there is no central warehouse. Delivery estimates are given by the producer, and questions about a shipment are best sent to the producer through the platform’s messaging. We step in when a producer is unresponsive.

6. Right of withdrawal and returns

As a consumer in the EU you may withdraw from a purchase within 14 days of delivery without giving a reason, except where the law exempts the goods — most relevantly products that spoil or expire quickly (such as fresh cheese) and sealed goods unsealed after delivery that cannot be returned for health or hygiene reasons.

To withdraw, notify the producer (your contracting party) through the platform’s messaging or the contact details in the order confirmation within the 14-day period, and return the goods within 14 days of that notice. The producer refunds you, including standard delivery costs, using your original payment method. Your statutory rights for defective products remain unaffected.

7. Alcohol

Wine, beer, cider, and other alcoholic products may only be ordered by, and delivered to, persons of legal drinking age — 18 or older in the Netherlands. By ordering them you confirm that you and the recipient meet the applicable age requirement, and delivery may require proof of age.

8. Community content

Reviews, product questions, and messages must be honest, relevant, and lawful. Not allowed: content that is misleading, abusive, discriminatory, or unlawful; spam or advertising; reviews of products you did not buy; and sharing other people’s personal data.

You keep ownership of what you post and grant us a non-exclusive licence to host and display it on the platform. We may remove content that violates these rules and may suspend accounts that repeatedly do; conversations can be reported in the app for review.

9. For producers

Selling on Rootstock is additionally governed by a separate producer agreement (producer agreement — pending), covering fees, payouts, tax responsibilities, and listing standards.

10. Our liability

We provide the platform with care but cannot guarantee it is always available or error-free. Because the purchase contract is with the producer, the producer is responsible for the products they sell. Nothing in these terms limits liability that cannot be limited by law, including your mandatory rights as a consumer and liability for intent or gross negligence.

11. Suspension and termination

You may close your account at any time. We may suspend or close accounts that breach these terms, abuse the platform, or create legal risk, and will state the reason unless the law prevents us.

12. Changes to these terms

We may amend these terms as the platform evolves. Material changes will be announced on the platform in advance; continuing to use Rootstock after they take effect constitutes acceptance. The date at the top shows the latest revision.

13. Governing law and disputes

Dutch law applies to these terms. If you live in another EU country, you always keep the protection of the mandatory consumer rules of your own country. Complaints are best raised with us — or for order issues, with the producer — first; if we cannot resolve them, you can turn to the competent court or your national consumer-protection authority (in the Netherlands, ACM ConsuWijzer).
